Terms of Service

These Terms of Service (“Terms”) govern the access to and use of the Digiventi website as well as the provision of IT consulting services offered by Digiventi S.r.l. (“Digiventi”, “we”, “us”, or “our”).
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.

2. Scope of Services
Digiventi provides professional IT consulting services to business clients, which may include, without limitation:
- Staff augmentation and allocation of specialised IT professionals
- IT project consulting and delivery support
- Technology advisory services
- Development and implementation of specialised IT solutions, including cybersecurity, artificial intelligence, cloud services, and related technologies
The specific scope, deliverables, timelines, and commercial conditions of each engagement are defined in separate agreements or Statements of Work (“SOW”).
Digiventi may use subcontractors, external consultants, affiliated professionals, or specialised third-party partners for the delivery of services, while remaining responsible for the overall coordination and management of the agreed services.
3. Acceptance of Terms
By accessing the website or engaging Digiventi for services, the client acknowledges that they have read, understood, and agreed to be bound by these Terms.
If the client does not agree with these Terms, they must refrain from using the website or engaging with our services.
4. Service Agreements and Statements of Work
Each project or engagement is governed by a separate agreement and/or Statement of Work (“SOW”) that defines specific commercial and operational terms.
In the event of any conflict between these Terms and a signed SOW or service agreement, the terms of the SOW or agreement shall prevail with respect to that specific engagement.
5. Client Obligations
When engaging Digiventi services, the client agrees to:
- Provide accurate, complete, and timely information necessary for the execution of the services
- Ensure timely feedback, approvals, and cooperation throughout the engagement
- Confirm that they have all necessary rights, permissions, and authorisations for any materials, data, or information shared with Digiventi
- Pay all fees in accordance with the agreed contractual terms
Failure to comply with these obligations may impact timelines, deliverables, or service performance.
6. Intellectual Property Rights
Unless otherwise agreed in writing:
Deliverables
Any deliverables specifically developed for the client under a service agreement shall become the property of the client upon full payment of all applicable fees.
Pre-existing Materials
All methodologies, know-how, frameworks, tools, software components, and materials developed or owned by Digiventi prior to or independently of the engagement remain the exclusive property of Digiventi.
Website Content
All content available on the Digiventi website, including text, graphics, branding, and materials, is owned by Digiventi S.r.l. and may not be reproduced, distributed, or used without prior written consent.
7. Confidentiality
Both parties agree to treat as strictly confidential any non-public information disclosed during the course of the business relationship.
Confidential information shall not be disclosed to third parties without prior written consent, except where required by applicable law.
This obligation shall survive the termination or expiration of any agreement between the parties.
8. Non-Solicitation of Personnel
During the term of any service engagement and for a period of 24 months following its termination or completion, the client shall not directly or indirectly solicit, hire, employ, engage, or otherwise retain any employee, consultant, contractor, or professional introduced or assigned by Digiventi in connection with the services, without the prior written consent of Digiventi.
In the event of a breach of this provision, the client agrees to pay Digiventi a contractual penalty equal to the higher of:
- The total annual gross compensation of the relevant professional; or
- An amount equal to twelve (12) months of service fees related to the relevant engagement.
Payment of such penalty shall not prejudice Digiventi’s right to seek additional damages where applicable under law.
9. Fees and Payment Terms
Fees, payment schedules, and billing conditions are defined in the applicable service agreement or SOW.
Unless otherwise agreed, invoices are payable within the timeframe specified in the relevant contract.
Late payments may result in suspension of services or additional charges where applicable.
For business-to-business transactions, late payment interest shall accrue automatically pursuant to Italian Legislative Decree No. 231/2002, implementing Directive 2011/7/EU on combating late payment in commercial transactions, without the need for formal notice or demand.
Digiventi also reserves the right to recover any costs incurred in the collection of overdue amounts, to the extent permitted by applicable law.
10. Warranties and Performance
Digiventi undertakes to provide its services with reasonable skill, care, and diligence, consistent with industry standards.
However, unless expressly agreed in writing, Digiventi does not guarantee specific business outcomes, results, or performance metrics.
Digiventi does not guarantee that systems, infrastructures, software environments, or cybersecurity measures will be completely free from vulnerabilities, cyber threats, malicious attacks, service interruptions, or unauthorised access attempts.
11. Force Majeure
Neither party shall be liable for any delay, interruption, or failure in the performance of its obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, labour disputes, internet or telecommunications failures, cyberattacks, power outages, pandemics, or failures of third-party service providers.
The affected party shall make reasonable efforts to mitigate the effects of such events and resume performance as soon as reasonably possible.
12. Limitation of Liability
To the maximum extent permitted by law:
- Digiventi’s total aggregate liability arising out of or in connection with the services shall not exceed the total fees paid by the client for the specific service giving rise to the claim
- Digiventi shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profit, revenue, data, or business opportunities
- Any claim arising out of or relating to the services must be brought within twelve (12) months from the date on which the relevant facts giving rise to the claim occurred
These limitations do not apply in cases of gross negligence, willful misconduct, or fraud.
13. Termination
Unless otherwise specified in a signed agreement, either party may terminate a service engagement by providing 30 days’ written notice.
Upon termination, the client shall remain liable for all fees due for services performed up to the effective termination date.
Any provisions which by their nature should survive termination, including confidentiality, intellectual property, limitation of liability, payment obligations, and non-solicitation obligations, shall remain in full force and effect after termination.
14. Website Use
Users agree to use the website in compliance with applicable laws and not to engage in any activity that may damage, disrupt, or compromise its functionality or security.
Digiventi reserves the right to restrict or terminate access to the website in case of misuse.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Italy.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Genoa, Italy.
16. Changes to These Terms
Digiventi reserves the right to modify or update these Terms at any time.
Any changes will be published on this page with an updated “Last updated” date. Continued use of the website or services after such changes constitutes acceptance of the updated Terms.
