3. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

4. Service Agreements

Specific project engagements are governed by separate Statements of Work (SOW) and service agreements that supersede these general terms for that particular engagement.

5. Client Responsibilities

When engaging our services, you agree to:

Provide accurate project requirements and specifications
Supply timely feedback and approvals
Ensure you have authority to share any data or materials provided
Pay fees according to agreed terms

6. Intellectual Property

Our Work Product: Deliverables created specifically for you under a service agreement are owned by you upon full payment, unless otherwise specified in the SOW.

Pre-existing Materials: Our pre-existing tools, methodologies, and general knowledge remain our intellectual property.

Website Content: All content on our website is owned by Digiventi Srl and may not be reproduced without permission.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during business engagements. This obligation survives termination of any service agreement.

8. Liability

Limitation: Our total liability for any claim arising from our services shall not exceed the fees paid for the specific service giving rise to the claim.

Exclusion: We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunities.

Exceptions: These limitations do not apply to liability arising from gross negligence, willful misconduct, or fraud.

9. Warranties

We warrant that our services will be performed with reasonable skill and care consistent with industry standards. We do not guarantee specific results unless explicitly stated in a service agreement.

10. Termination

Either party may terminate a service agreement with 30 days written notice, unless otherwise specified. Upon termination, fees for work completed up to the termination date are immediately due.

11. Governing Law

These Terms are governed by Italian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Rome, Italy.

12. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our services after changes constitutes acceptance of the new terms.
